Terms of Service

Welcome to iNeedX. These Terms of Service ("Terms") govern your access to and use of the iNeedX platform, website, and services (collectively, the "Platform") operated by iNeedX ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Platform Overview

iNeedX is an online marketplace that connects customers ("Customers") with independent service providers ("Providers"). We do not provide services directly. Providers are independent contractors, not employees of iNeedX. We facilitate the connection, booking, and payment process between Customers and Providers.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By registering, you represent that you meet these requirements.

2.2 Account Responsibilities

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

3. For Customers

3.1 Booking Services

Customers may browse available services, view Provider profiles, and request bookings through the Platform. A booking constitutes an agreement between the Customer and the Provider for the specified service.

3.2 Payments

  • All payments are processed securely through our payment partners.
  • Service fees displayed at checkout include the Provider's rate and a platform service fee.
  • You agree to pay all fees associated with bookings you make.
  • Prices are displayed in the applicable currency and include any applicable taxes as required by law.

3.3 Cancellation

Cancellation policies vary by Provider and service type. Please review the cancellation policy before confirming a booking. Refunds, if applicable, will be processed according to the Provider's cancellation policy and our refund guidelines.

4. For Providers

4.1 Provider Requirements

  • Providers must complete the onboarding process and provide accurate information about their services, qualifications, and availability.
  • Providers are responsible for obtaining and maintaining all required licenses, permits, trade certificates, and professional certifications for the services they offer.
  • Providers must carry adequate liability insurance and, where applicable, professional indemnity insurance. Providers are solely responsible for any property damage, personal injury, or financial loss arising from their services.
  • Where applicable, Providers must register their business and provide a valid tax identification number (NIPT, Partita IVA, VAT number, or equivalent) through the Platform.

4.2 Service Delivery

Providers agree to deliver services as described in their listings, arrive on time for scheduled bookings, and maintain a professional standard of service. Providers must communicate promptly with Customers regarding any scheduling changes.

4.3 Payments to Providers

  • iNeedX charges a platform commission on each completed booking, as specified in the Provider agreement.
  • Payouts are processed on a regular schedule through our payment partner (Stripe Connect).
  • Providers are responsible for reporting and paying all applicable taxes on their earnings.

5. Platform Rules

5.1 Prohibited Conduct

You may not:

  • Use the Platform for any unlawful purpose or in violation of applicable laws.
  • Misrepresent your identity, qualifications, or the services you offer.
  • Harass, threaten, or discriminate against any other user.
  • Attempt to circumvent the Platform's payment system for services booked through iNeedX.
  • Post false, misleading, or defamatory reviews.
  • Use automated tools, bots, or scrapers to access the Platform.
  • Interfere with the Platform's operation or security.

5.2 Content

Users retain ownership of content they submit to the Platform (reviews, messages, profile information). By submitting content, you grant iNeedX a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Platform.

6. Reviews and Ratings

Customers may leave reviews and ratings after completed bookings. Reviews must be honest, accurate, and based on genuine experiences. We reserve the right to remove reviews that violate our guidelines, including reviews that contain hate speech, personal attacks, or fraudulent content.

7. Disputes

If a dispute arises between a Customer and a Provider, we encourage both parties to resolve the issue directly. If a resolution cannot be reached, either party may open a dispute through the Platform. iNeedX may mediate disputes at its discretion but is not obligated to resolve disputes between users.

8. Limitation of Liability & Provider Responsibility

8.1 Platform Role

iNeedX is a technology platform that connects Customers with independent Providers. We do not employ, supervise, or control any Provider. We do not perform, guarantee, or inspect any services listed on the Platform. All services are delivered solely by the Provider at their own risk and responsibility.

8.2 Property Damage & Personal Injury

iNeedX bears no liability whatsoever for property damage, personal injury, financial loss, or any other harm caused by a Provider during or in connection with the delivery of services. If a Provider causes damage to your property (for example, a plumber flooding your kitchen or an electrician damaging your wiring), the claim must be directed solely at the Provider, not at iNeedX. Providers are independently responsible for carrying adequate professional liability and property damage insurance.

8.3 Provider Insurance & Licensing

Providers represent and warrant that they hold all licenses, permits, and insurance coverage required by applicable law for the services they offer. iNeedX may request proof of insurance and professional licenses during the verification process, but verification does not constitute a guarantee of coverage or competence. Customers are encouraged to request proof of insurance directly from Providers before authorizing work.

8.4 General Limitation

To the maximum extent permitted by law:

  • iNeedX provides the Platform "as is" and "as available" without warranties of any kind.
  • We are not liable for the quality, safety, legality, or outcome of services provided by Providers.
  • We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or from any service performed by a Provider.
  • Our total liability to you shall not exceed the platform fees you have paid to iNeedX in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless iNeedX, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

10. Modifications

We may modify these Terms at any time by posting the updated Terms on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms. We will notify users of material changes via email or Platform notification.

11. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.
